Notice of Amendment to Special Rules of Order

Notice to 2015 General Council Accredited Delegates of Proposed Amendments to the General Council Special Rules of Order submitted to the General Council Committee on Rules in accordance with the Amended and Restated Constitution and Bylaws of The Christian and Missionary Alliance

The Board of Directors of The Christian and Missionary Alliance adopted the following recommendations during their February 2017 meeting, finding that the following two proposed amendments are of a routine or editorial nature and will not alter any substantive provision of the noted document, and has directed that the proposed amendments be submitted to a vote of the Committee on Rules.

Recommendation 1—General Council Special Rules of Order—Delegate Certification

To clarify wording, eliminate unnecessary language, update applicable term lengths, and include all subsidiaries (in lieu of listing specific entities) for the purpose of avoiding future amendments,

It is recommended that Article V, Delegate Certification, Section 5.2, Signature, A, President, in the General Council Special Rules of Order (pages A3-5-6) in the Manual of The Christian and Missionary Alliance, which reads:

Section 5.2. Signature. The delegate certification provided by the corporate secretary shall be authorized as follows:

A. President. The president shall authorize certification for each of the following persons:

(1) Corporate vice president
(2) Corporate secretary
(3) Members of the Board of Directors
(4) Persons employed in the National Office holding an official worker license issued by the proper authority
(5) Such other officers and employees in the National Office as may be determined by the Board of Directors.
(6) Former presidents
(7) Former officers who are eligible to attend the General Council at the expense of The Christian and Missionary Alliance
(8) Persons who served as corporate vice president or corporate secretary for at least nine years
(9) Lay members of each meeting committee to which certification has not previously been issued
(10) Principal officers of each postsecondary educational institution of The Christian and Missionary Alliance
(11) Executive directors of official retirement centers of The Christian and Missionary Alliance
(12) President of The Alliance Development Fund, Inc.
(13) President of The Orchard Foundation, Inc.
(14) President of CAMA Services, Inc.

Be amended as follows:

Section 5.2. Signature. The delegate certification provided by the corporate secretary shall be authorized as follows:

(3) Members of the Board of Directors
(4) Persons employed in the National Office holding an official worker license issued by the proper authority
(5) Such other officers and employees in the National Office as may be determined by the Board of Directors.
(6) Former presidents
(7) Former vice presidents officers who are eligible to attend the General Council at the expense of The Christian and Missionary Alliance
(8) Persons who served as corporate vice president or corporate secretary for at least nine 12 years
(9) Lay members of each meeting committee to which certification has not previously been issued
(10) Principal officers of each postsecondary educational institution of The Christian and Missionary Alliance
(11) Executive directors of official retirement centers of The Christian and Missionary Alliance
(12) Presidents of any Alliance subsidiary corporation The Alliance Development Fund, Inc.
(13) President of The Orchard Foundation, Inc.
(14) President of CAMA Services, Inc.

The amended section will then read:

Section 5.2. Signature. The delegate certification provided by the corporate secretary shall be authorized as follows:

A. President. The president may authorize certification for each of the following persons:

(1) Corporate vice president
(2) Corporate secretary
(3) Members of the Board of Directors
(4) Persons employed in the National Office holding an official worker license issued by the proper authority
(5) Such other officers and employees in the National Office as may be determined by the Board of Directors.

(8) Persons who served as corporate vice president or corporate secretary for at least 12 years
(9) Lay members of each meeting committee to which certification has not previously been issued
(10) Principal officers of each postsecondary educational institution of The Christian and Missionary Alliance
(11) Executive directors of official retirement centers of The Christian and Missionary Alliance
(12) Presidents of any Alliance subsidiary corporation

Recommendation 2—General Council Special Rules of Order—Expenses to Council

In reference to the recommendation below, the C&MA Bylaws define executive officers in Section 8.1 on page A2-20 in the C&MA Manual:

Section 8.1. Number. The executive officers of The Christian and Missionary Alliance shall consist of a president, a corporate vice president, and a corporate secretary. Other corporate officers shall include a treasurer and such officers as the Board of Directors may consider necessary or advisable. All officers must be general members of The Christian and Missionary Alliance as defined in Section 5.1A of these Bylaws.

This amendment will clearly define what is meant by “officers” in the list, as well as update the term “missionary” to “international worker” as approved many years ago.

It is recommended that Article VI, Expenses to the General Council, in the General Council Special Rules of Order in the C&MA Manual (pages A3-7-8), which reads:

The Christian and Missionary Alliance shall pay the expenses, as specified by the Board of Directors, of attending the General Council, for each of the following persons:

A. Officers and spouses
B. Members of the Board of Directors
C. District superintendents, assistant district superintendents, and presidents of multicultural associations
D. Missionaries on home assignment (subject to the regulations established by the National Office)
E. Such others as described or identified in the Bylaws of the Board of Directors

Be amended as follows:

The Christian and Missionary Alliance shall pay the expenses, as specified by the Board of Directors, of attending the General Council, for each of the following persons:

A. Executive oOfficers and spouses
B. Members of the Board of Directors
C. District superintendents, assistant district superintendents, and presidents of multicultural associations
D. Missionaries International workers on home assignment (subject to the regulations established by the National Office)
E. Such others as described or identified in the Bylaws of the Board of Directors

The amended section will then read:

The Christian and Missionary Alliance shall pay the expenses, as specified by the Board of Directors, of attending the General Council, for each of the following persons:

A. Executive officers and spouses
B. Members of the Board of Directors
C. District superintendents, assistant district superintendents, and presidents of multicultural associations
D. International workers on home assignment (subject to the regulations established by the National Office)
E. Such others as described or identified in the Bylaws of the Board of Directors

Communication During Notice Period

According to Article VII of the Special Rules of Order of The Christian and Missionary Alliance (page A3-8) and Section 10.1 of the General Bylaws of The Christian and Missionary Alliance (page A2-23), an accredited delegate of the 2015 General Council has the right to communicate, during the notice period, to the Committee on Rules concerning the above amendments. The Committee on Rules is required to wait at least one month, after notice is given, to take any action on the amendments.
