Orchard Alliance, a subsidiary of The Christian and Missionary Alliance denomination (The Alliance), is seeking a full-time Paralegal. We are a nonprofit financial stewardship ministry that provides churches, individuals, families, and other likeminded organizations with a wide range of products and services.

The Orchard Alliance Paralegal position is responsible for creating and reviewing various legal documents for charitable instruments, loans, and corporate actions. The Paralegal must be a person qualified by education, training or work experience who performs specifically delegated substantive legal work for which a lawyer would otherwise be responsible. The Paralegal will work with Orchard Alliance’s outside legal counsel where necessary.

Duties Include:

  • Legal documents – Donor
    • Create
    • Proof
    • Consult gift planners and outside counsel
  • Trust Accounts
    • New account setups
    • Changes and terminations
    • Annual reviews
  • Estates (gift processing)
    • Work with estate/trust representatives
    • Collaborate with Accounting on gift deposits
    • Process gift recording (document gift details)
    • Create and send gift letters
  • State Reporting
    • Securities and Offering Circular
    • CGAs
    • Orchard Alliance & LLCs
  • Real Estate Gifts
  • Gift Acceptance Committee (GAC)
    • Meetings – voting member
    • Review estates and gift plans
    • Review and prepare policy
  • Trust Committee
    • Meetings – voting member
    • Present actions/decisions for committee review
    • Serve as secretary
  • Corporate Contract Review
  • Orchard Alliance Insurance
    • Applications in coordination with The Alliance
  • Trademarks
    • Coordinate with outside counsel
  • Board Policy Drafting
  • Board Governance/Maintenance (eg. resolutions)
  • Litigation Management
    • Consult with outside counsel
  • Serves as backup to the lending coordinator in conducting loan closings:
    • Coordinates closings with borrower and title company/attorney
    • Reviews preliminary title reports and addresses title exceptions
    • Prepares legal documents using LaserPro software
    • Coordinates the satisfaction of all loan conditions
    • Provides funds for closings
    • Oversees the return and proper scanning of all required documents
  • Responsible to research and make determinations regarding legal issues associated with closing new loans and modifying existing loans
  • Review lease agreements, construction contracts, etc. associated with loan underwriting, closings, and throughout the life of loans

Education & Skills Required:

  • Proficiency in Microsoft Office Suite including Outlook, Word, and Excel
  • Research and writing skills, at the level normally demonstrated through a college degree, are required in order to compile and analyze data and to compose, produce, and edit correspondence and other documents
  • Established reliability to perform the essential functions as would normally
    be demonstrated by an individual with a bachelor’s degree or a certificate in paralegal studies or, in the alternative, 3—5 years of previous, successful corporate paralegal experience
  • Ability to communicate and problem-solve in a productive, rational, and constructive manner using language and tone of voice that promotes interpersonal relationships
  • Ability to build strong working relationships, internal and external to the organization
